These Terms & Conditions (“Terms”) govern your access to and use of the websites, applications, products, and services (collectively, the “Services”) provided by POD Health (“POD Health,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1 Acceptance of Terms
By accessing, browsing, or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and any policies referenced herein, including our Privacy Policy. If you are entering into these Terms on behalf of a clinic, hospital, or other organization, you represent that you have authority to bind that entity.
2 Definitions
“Customer” means the physician, clinic, hospital, or organization that subscribes to the Services. “Authorized User” means an individual permitted by a Customer to access the Services. “Content” means text, data, reports, models, software, and other materials made available through the Services. “Patient Data” means information relating to an identifiable patient that is processed through the Services.
3 Eligibility & Accounts
The Services are intended for use by licensed healthcare professionals and their authorized staff. You must be at least 18 years old and capable of forming a binding contract. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
4 Use of Services
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for lawful clinical and business purposes. You agree not to use the Services in violation of law, reverse engineer or extract source code or models, interfere with security, upload data you do not have the right to share, or resell the Services except as expressly permitted.
5 No Medical Advice; Clinical Judgment
The Services — including diagnostic support, NeuroTwin simulations, AI Agents, and generated reports — are intended to assist, not replace, the independent professional judgment of a qualified clinician. Outputs are decision-support tools and are not a substitute for clinical evaluation, diagnosis, or treatment.
You are solely responsible for all clinical decisions, diagnoses, prescriptions, and patient care. Never disregard professional medical judgment or delay treatment based on information provided through the Services.
6 Intellectual Property
The Services, including all software, models, algorithms, designs, and Content (excluding Customer and Patient Data), are owned by POD Health or its licensors and are protected by intellectual property laws. No rights are granted except as expressly set out in these Terms. Any feedback you provide may be used by us without restriction or obligation.
7 Data & Privacy
Our collection and use of personal information is described in our Privacy Policy. As between the parties, the Customer retains ownership of Patient Data. We process Patient Data only to provide and improve the Services and in accordance with applicable law and any executed data processing or business associate agreement. We employ safeguards designed to protect data confidentiality and integrity.
8 Fees & Payment
Fees for paid Services are set out in the applicable order form or subscription agreement. Unless otherwise stated, fees are non-refundable, exclusive of taxes, and due within the period specified in your invoice. We may suspend Services for overdue amounts after reasonable notice.
9 Disclaimers
The Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that outputs will be accurate or complete.
10 Limitation of Liability
To the maximum extent permitted by law, POD Health and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Services will not exceed the amounts paid by you to us for the Services in the twelve months preceding the claim.
11 Indemnification
You agree to indemnify and hold harmless POD Health, its affiliates, and their respective officers, employees, and agents from any claims, liabilities, damages, and expenses arising from your use of the Services, your Content or Patient Data, or your breach of these Terms or applicable law.
12 Termination
We may suspend or terminate your access to the Services at any time for breach of these Terms or as required by law. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination will survive.
13 Governing Law
These Terms are governed by the laws of the State of Texas, USA, without regard to its conflict of laws principles. The exclusive venue for any dispute will be the state and federal courts located in Travis County, Texas, and you consent to personal jurisdiction there.
14 Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated by posting the revised Terms with an updated date or by other reasonable means. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
